SAN FRANCISCO -- Riverbed Technology, Inc. (Nasdaq: RVBD - News) announced today that it plans to file with the Securities and Exchange Commission a registration statement for the offering of 5.0 million shares of its common stock in an underwritten secondary public offering, not including any shares to be sold pursuant to the exercise of an option to purchase additional shares held by the underwriters. Approximately 2.65 million of the shares will be offered by certain Riverbed stockholders. The offering is subject to applicable regulatory approvals.
